Sateba joins Vossloh, one of the leaders in rail infrastructure

Paris, 31st July 2024.

Sateba, one of Europe’s leading manufacturers of railway sleepers, announces today that it plans to join
the Vossloh group, a specialist in railway infrastructure (sales of €1.2 billion, 4,000 employees), with 140
years of experience and with which it has already cooperated for many years.

The transaction, which is due to be finalized in spring 2025 following regulatory approvals, and, in particular, the consultation with employee representative bodies in France, will involve the sale of Sateba by the Private Equity fund Towerbrook Capital Partners to Vossloh  France SAS, a subsidiary of Vossloh AG, for an amount of €450 million.

Sateba (1,120 employees), which has been present in its market for around 100 years, is proud to bring its expertise in France and Europe to Vossloh.

For Sateba, following the recent acquisitions of Vapérail in France and the rail activities of the De Bonte group in France and Belgium, this transaction will confirm its development in Europe and worldwide, serving all the major rail operators.

We are delighted to join a group as prestigious and solid as Vossloh. This is a very exciting moment for our team as this transaction will enable us to pursue the Group’s development and provide high-quality, innovative products and services to our major customers. I would especially like to thank Towerbrook Capital Partners for actively supporting us since 2021.” emphasizes Benoit Cattin-Martel, CEO of Sateba.

Jean Rollier and Edouard Peugeot, Managing Directors at TowerBrook, added: “We are proud to have supported Sateba and its management team led by Benoit Cattin-Martel, from its carve out of the Consolis Group to the creation of a major operator within the European railway infrastructure industry.

Under the ownership of TowerBrook, Sateba has achieved significant growth notably through the acquisitions of VapéRail and of the rail activities of De Bonte Group, and developed an ambitious low carbon product strategy which will further reinforce Sateba’s position going forward. There is an excellent business and strategic fit between Sateba and Vossloh and we are therefore enthusiastic to see the two companies join forces with this transaction. We look forward to witnessing the continued development of the company under its new ownership.”
